digital menu systems;

tablet-based systems;

2. Scope of These Terms
These Terms of Use primarily govern use of:
customer or administrative portals operated by SignSeal where these terms are referenced;
software applications supplied or operated by SignSeal where these terms apply;
online content-management services;
digital signage and kiosk management interfaces;
device-management services; and
other digital services that link to or expressly incorporate these Terms of Use.
Separate terms may apply to the purchase of goods and services from SignSeal.
Where a quotation, contract, licence, service agreement, support agreement or other written agreement contains terms that differ from these Terms of Use, the specific written agreement will take precedence in relation to the relevant product or service.
3. Access to Our Website
www.sign-seal.co.uk is made available primarily to provide information about SignSeal, showcase our work and services, allow prospective and existing customers to contact us and provide access to relevant business services.
We may change, update, suspend or withdraw all or part of the website from time to time.
We do not guarantee that www.sign-seal.co.uk, or any particular content on it, will always be available or uninterrupted.
We may restrict access to parts of the website where reasonably necessary for maintenance, security, operational or business reasons.

5. Quotations and Website Enquiries
Submitting an enquiry through www.sign-seal.co.uk does not create a contract between you and SignSeal.
Any pricing displayed on the website, unless expressly identified as a binding offer, is indicative only.
A contract for SignSeal products or services will normally arise only after the relevant quotation, specification or order has been accepted in accordance with our applicable Terms & Conditions.
Website availability does not guarantee product availability, manufacturing capacity or a particular installation date.
6. Accounts and Restricted Areas
Certain SignSeal services may require a user account, administrative account, PIN, access link or other authentication method.
Where an account is provided, you are responsible for:

7. Authorised Business Users

The organisation responsible for the account is responsible for determining who should be authorised to access its systems unless otherwise agreed with SignSeal.

11. SignSeal Artwork and Designs
Concept artwork, mock-ups, layouts, drawings and design work produced by SignSeal may contain intellectual property belonging to SignSeal.
The provision of a visual proof or quotation does not automatically transfer ownership of the underlying design, editable artwork or production files.
Rights relating to commissioned design work will be governed by the applicable quotation, Terms & Conditions or other written agreement.
12. Customer-Supplied Content
You may provide us with information or materials including:
logos;
artwork;
photographs;
text;
documents;
spreadsheets;
databases;
menus;
product information;
videos;
graphics; and
other digital content.
You retain any rights you already hold in your content.
By supplying content to us, you grant SignSeal permission to use, reproduce, process and modify that content to the extent reasonably necessary to provide the requested products or services.
You are responsible for ensuring that you have the necessary rights, permissions and lawful basis to provide that content to us.
You must not knowingly provide content that is unlawful or infringes another person’s rights.
13. Software Services
SignSeal may develop, configure, supply, host or maintain software for customers.
The features and functionality available will depend upon the relevant service, quotation or specification.
Unless expressly agreed otherwise, access to software does not transfer ownership of:
source code;
underlying software;
frameworks;
reusable components;
development tools;
databases or database structures;
system architecture; or
SignSeal intellectual property.
A customer may instead receive a right or licence to use the software for the agreed purpose.
14. Software Development and Changes
Software and digital services may be updated periodically.
Updates may include:
bug fixes;
security improvements;
compatibility changes;
performance improvements;
interface changes;
additional functionality; and
changes required because of third-party platforms or operating systems.
We may make reasonable technical changes without notice where they do not materially alter the fundamental purpose of the service.
Material customer-specific development outside the agreed scope may be separately chargeable.
15. Digital Signage and Digital Menu Systems
Customers using digital signage, menu-board or content-management services are responsible for the accuracy and legality of the content they publish.
This includes responsibility for:
prices;
product descriptions;
allergen or regulatory information;
promotional claims;
opening times;
images;
copyright;
trademarks; and
other customer-controlled content.
SignSeal is not responsible for inaccuracies in content supplied, entered or approved by the customer unless we have specifically agreed to create or verify that content.
16. Kiosks and Self-Service Systems
Kiosk and self-service systems may depend upon several components including:
physical hardware;
operating systems;
applications;
internet connectivity;
local networks;
cloud services;
third-party APIs; and
peripheral devices.
The customer is responsible for providing suitable operating conditions, power, connectivity and physical security unless these are specifically included within the agreed SignSeal service.
17. Managed Devices
SignSeal may provide configuration, deployment, administration or support services for tablets, displays, kiosks and other commercial devices.
These services may involve enterprise device-management technology.
Where authorised by the customer, management functionality may include:
configuring device settings;
deploying applications;
configuring kiosk or restricted-use modes;
applying security policies;
monitoring device status;
reviewing compliance information;
performing diagnostic actions;
remotely updating configurations;
restricting specified functionality; and
taking other reasonable administrative actions within the agreed scope.
Customers are responsible for ensuring they have appropriate authority to place devices and users under the relevant management arrangements.
18. Device Management and User Privacy
The information available through managed-device services depends upon the device, operating system, configuration and third-party management platform.
Where applicable, customers are responsible for informing their users that devices are managed and for meeting any legal obligations applicable to their workforce, customers or other device users.
SignSeal will process personal information associated with managed devices in accordance with our Privacy Policy and, where applicable, as a processor acting on behalf of the relevant customer.
19. Third-Party Platforms and Services
SignSeal products and services may rely upon or integrate with products operated by third parties.
These may include:
device-management platforms;
operating systems;
hosting providers;
cloud infrastructure;
communications services;
mapping services;
payment providers;
APIs;
content platforms; and
other technology providers.
Use of a third-party product may also be subject to that provider’s terms and policies.
SignSeal does not control third-party platforms and cannot guarantee that they will remain unchanged or continuously available.
20. Third-Party Changes
A third-party provider may change its:
software;
APIs;
licence terms;
pricing;
technical requirements;
functionality;
compatibility; or
availability.
Where such a change affects a SignSeal service, we will make reasonable efforts to maintain the service where commercially and technically practical.
Additional work required because of substantial third-party changes may be chargeable where appropriate.
21. Service Availability
We aim to provide reliable digital services but do not guarantee uninterrupted availability unless a specific service-level commitment has been agreed in writing.
Services may occasionally be unavailable because of:
scheduled maintenance;
emergency maintenance;
software updates;
hardware failures;
internet or network outages;
hosting failures;
cyber-security incidents;
third-party outages;
power failures; or
circumstances outside our reasonable control.
Where practical, we will seek to restore services within a reasonable period.
22. Maintenance
We may perform maintenance on systems from time to time.
Where maintenance is likely to cause significant planned disruption to an ongoing customer service, we will make reasonable efforts to provide appropriate notice where practical.
Emergency maintenance may be undertaken without advance notice where necessary to protect security, data or service integrity.
23. Security
We take reasonable technical and organisational measures to protect systems under our control.
Users must also take reasonable security precautions.
You must notify us promptly if you become aware of:
unauthorised access;
compromised credentials;
suspicious account activity;
malware;
a lost or stolen managed device; or
another security issue affecting a SignSeal service.
We may take reasonable immediate action to protect affected systems.
24. Backups and Business Continuity
Where backup services are expressly included within a SignSeal service, the scope and retention of those backups may be defined separately.
Unless specifically agreed otherwise, customers remain responsible for maintaining appropriate copies of business-critical information and suitable business-continuity procedures.
A digital service should not be treated as the customer’s sole business-continuity mechanism unless this has expressly formed part of the agreed solution.
25. Data Protection
Personal information processed through www.sign-seal.co.uk and our services will be handled in accordance with our Privacy Policy and applicable data protection law.
Depending upon the circumstances, SignSeal may act as a data controller or as a data processor acting on behalf of a customer.
Where appropriate, separate data-processing terms may apply.
26. Confidentiality
Information provided through customer systems may be commercially sensitive or confidential.
We will take reasonable steps to restrict access to customer information to persons who reasonably require access to provide, maintain, secure or support the relevant service.
Confidentiality obligations may also be contained within individual customer agreements.
27. Suspension of Digital Services
We may temporarily suspend or restrict access to a digital service where reasonably necessary because of:
a serious security risk;
suspected unauthorised access;
unlawful use;
material breach of these Terms;
risk to other customers or infrastructure;
required maintenance;
non-payment where the applicable commercial agreement permits suspension; or
legal or regulatory requirements.
Where reasonably practical, we will attempt to contact the affected customer.
28. Termination of Digital Services
Termination rights for paid, subscription or customer-specific services will normally be determined by the applicable quotation, licence, contract or service agreement.
Following termination, access to systems may be withdrawn and customer information may subsequently be deleted in accordance with the relevant agreement, our Privacy Policy and applicable legal requirements.
Customers should arrange to export information they reasonably require before a service ends where export functionality is available.
29. Links to Other Websites
www.sign-seal.co.uk may contain links to third-party websites.
These links are provided for convenience or information.
We do not control third-party websites and are not responsible for their content, security, availability or privacy practices.
A link does not necessarily mean that SignSeal endorses the third party.
30. Viruses and Malicious Software
Although we take reasonable security measures, we cannot guarantee that our website or every digital service will always be completely free from vulnerabilities or malicious software.
You are responsible for maintaining appropriate security protection on systems and devices used to access online services.
You must not knowingly introduce malicious software into SignSeal systems.

loss of anticipated savings;
loss of business opportunity;

33. Consumer Rights

34. Indemnity for Business Users
Where you are using a SignSeal service in the course of business, you are responsible for claims arising directly from unlawful content or data that you have knowingly supplied or published through the service, or from your material misuse of the service, subject to applicable law.
This provision does not apply to the extent that the claim results from SignSeal’s own breach, negligence or unlawful conduct.
35. No Partnership or Agency

36. Transfer of Rights
You may not transfer contractual access to a customer-specific SignSeal digital service to another organisation without our consent where that transfer would materially affect the service, security or commercial agreement.
SignSeal may use employees, contractors, hosting providers and other appropriate suppliers to perform parts of its services.
37. Failure to Enforce These Terms
If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.
38. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
39. Changes to These Terms
